  • Asset sale of large engineering firm headquartered in Nevada to large civil engineering firm headquartered in Minnesota. Transaction involved cash and stock consideration, fair employment contracts, tax deferrals and incentives for future growth.
  • Internal sale of engineering company to key employees as part of ownership and management transaction. Transaction involved both cash and stock consideration based on earn-out and company financing.
  • Sale of architectural firm headquartered in Washington to large engineering firm headquartered in Idaho. Transaction involved significant re-structuring to allow for proper licensing and independent practice of architecture within the engineering firm.
  • Acquisition of engineering consulting company headquartered in Washington by larger engineering company also headquartered in Washington. Transaction involved a combination of stock and cash consideration with performance incentives that maximized tax benefits to both seller and buyer.
  • Sale of large architect and engineering insurance broker headquartered in Washington to larger brokerage firm headquartered in Florida. Transaction involved a combination of stock and cash consideration and fair earn-outs that provided tax benefits to the seller and independent continuation of the seller business.
  • Equity sale of large company in Washington to large national capital firm headquartered in Washington. Transaction involved corporate re-structuring to insulate seller from liabilities and provide tax benefits to both seller and buyer and a complete exit of founding owners.
  • Asset purchase of transportation planning company in California by large engineering company headquartered in Washington. Transaction involved cash consideration and reasonable performance incentives that resulted in significant growth of combined entities.
  • Stock exchange of large engineering company headquartered in Washington with large engineering firm in Colorado. Transaction involved re-structuring that ultimately resulted in a “tax free” exchange providing benefits to both parties.

Cases:

  • Defense of large international engineering company against alleged claim of professional negligence by public entity. Case involves complex evaluation of multiple documents on billion-dollar construction project.
  • Defense of large engineering company against alleged claim of professional negligence relating to slope stability project along railroad. Case involved strong documented technical defense that resulted in a minimal contribution to settlement at a mediation.
  • Defense of large environmental consulting company against alleged claim of professional negligence in preparation of environmental site assessment report for development of shopping center. Case resulted in “better than expected” settlement following successful appeal of superior court decision.
  • Defense of large architectural firm in “break-up” of company ownership. Case was settled favorably in mediation that allowed for smooth transition and continued growth of company.
  • Defense of engineering consulting company against alleged claim of wrongful termination and employment discrimination. Case was settled in mediation favorable to all parties.
  • Defense of large engineering company against alleged claims by business associated with flooding incident in Canada. With little causation connection to client, claim was dismissed with minimal attorneys’ fees.
  • Defense of engineering company in claim against owner by contractor that was tendered based on indemnity in contract. We entered into a joint defense agreement with client and other members of the design team that ultimately resulted in resolution and successful completion of project without monetary contribution.
  • Defense of large engineering company in connection of differing site condition claim by contractor in construction of pipeline. Claim was settled with minimal contribution through negotiation and education of client and other design team members.
